US LLC: Resident vs. Non-Resident Comparison

The entity is identical. The route to it is not. Where you are resident decides how your EIN is issued, what address the state will accept, how you get banked, and what the IRS expects at year end. Find your column before anything is filed.

  • Non-US Resident:No SSN, filing from abroad

Choosing a state

Where the LLC gets formed changes what it costs to keep

Start here

Your home state

If you have an office, staff, stock, or a shop floor in one state, that is where the LLC belongs. Forming somewhere cheaper usually means registering as a foreign LLC back home anyway, so two sets of fees for one company.

Wyoming

The usual landing spot for owners with no US presence: low annual fees, a short annual report, and no requirement to set foot in the state to keep it alive.

Delaware

The default where outside investment is coming. A dedicated business court, a body of case law investors and their lawyers already know, and members kept off the public formation filing.

New Mexico

The cheapest entity to keep alive year to year, with no annual report and no annual state fee once it is formed. Suited to small remote operations that want the entity and little else.

What we need from you

Have these ready and the filing usually goes out the same working day.

  1. Passport or government ID and proof of residential address for every member
  2. Two or three preferred company names, in order of preference
  3. The state you want to file in, or tell us the business and we will pick it with you
  4. The ownership split between members, and who is authorised to sign for the company
  5. For corporate members: certificate of formation and a signed board resolution

Missing one of them? Send what you have. We will tell you what is still outstanding before anything goes to the state, not after it comes back rejected.

Frequently asked

Common questions

The six we are asked before almost every US filing, resident and not.

Yes. There is no citizenship or residency requirement to own a US LLC, and no state asks you to travel there to form one. What changes is the route: you will need a registered agent and a US business address in the filing state, and your EIN goes to the IRS on a paper Form SS-4 rather than through the online application.

Get the US entity set up once, and correctly

One team from the name check to the day the account opens: the filing, the registered agent, the EIN, and the paperwork a bank will actually accept. No handing you back a certificate and calling it done.

Send the details below and an advisor picks it up the same working day. Nothing is filed until the name has been agreed with you, checked against the register, and the structure confirmed.

  • Name checked against the state register, not a search engine
  • Registered agent and address in the state you form in
  • EIN applied for as soon as the certificate is issued
  • Filed documents in the form a bank will actually accept
